ProCurand Stiftung sells ProCurand Group to Alloheim
Deloitte Corporate Finance Advisory acted as exclusive financial advisor to gemeinnützige ProCurand Stiftung on the sale of ProCurand Group to Alloheim Senioren-Residenzen SE, a portfolio company of Nordic Capital. ProCurand is a leading elderly care platform in Germany, offering an integrated service portfolio across residential care, assisted living, day care and outpatient care.
The Deloitte M&A team, under the responsibility of Alexander C. Bielig (Managing Director) and Michael Caspers (Director), was operationally led by Christoph Madea (Assistant Director), supported by Alexander Völkel (Senior Associate), Louis Blank and Simon Tilosen (both Analysts).
Deloitte delivered a fully integrated advisory approach, combining M&A Lead Advisory, Transaction Services and Tax Advisory throughout the structured and competitive M&A process. The Transaction Services workstream was led by Andreas Korten (Partner) and Kerstin Conrad (Director), while tax advice was provided by Markus Schmitz (Partner), Andrea Kochenbach (Senior Manager), and Ursula Fleindl-Bobinger (Manager).
The transaction represents a significant step within the consolidating German elderly care sector, where operators increasingly seek scale, regional density and operational efficiencies.
About the transaction
Deloitte advised the shareholders and management throughout the entire transaction process, including transaction structuring, preparation, investor outreach, Due Diligence management, and commercial negotiations through to signing of the Share Purchase Agreement relating to the sale of 100% of the shares in ProCurand Care GmbH and its subsidiaries. The Transaction Services and Tax teams further supported the process through the preparation of factbooks, the conversion of the ProCurand Care and ProCurand Ambulante Pflege from a tax-exempt non-profit structure into a for-profit GmbH prior to investor outreach, as well as ongoing Due Diligence support.
The acquisition further strengthens Alloheim’s leading position in the German care market and follows the company’s recent acquisition of Integra, underlining its continued expansion strategy.
The combination brings together complementary regional footprints and strengthens both groups’ ability to address the growing demand for high-quality elderly care services in Germany.

The transaction is subject to customary closing conditions and regulatory approvals.
