About the transaction
Deloitte has advised LANXESS on the signing of agreements to establish a leading global joint venture for high-performance engineering polymers with Advent International. The Deloitte team was led by Financial Advisory Partners Malte Stoever (Financial transaction support) and Ihsan Ugurlu (Operational transaction support) as well as Director Bjoern Hilkenbach, Director Michael Dornauer, Senior Manager Maximilian Petzold and Senior Manager Franz Toaspern (Financial Advisory). IT transaction support was provided by Deloitte Consulting Senior Manager Hiroshi Ochi and team.
LANXESS and Advent signed an agreement to acquire the DSM Engineering Materials business (DEM) from Dutch group Royal DSM, which will become part of the new joint venture. The purchase price is around EUR 3.7 billion. LANXESS will receive an initial payment of at least EUR 1.1 billion and a stake of up to 40 percent in the future joint venture. Transaction closure is expected in H1 2023.
