ACTIVE acted as exclusive sell side M&A advisor in the sale of Henkel impregnation business
Henkel AG & KGaA sold its European impregnation business including the shares of Henkel Loctite KID GmbH, Hagen, Germany, to Alterauge Beteiligungs GmbH, a newly created acquisition vehicle with the former managing director of Henkel Loctite KID GmbH as main shareholder. ACTIVE acted as the exclusive sell side M&A advisor in the sales process.
The business was founded in 1980 and looks back on a history of more than 40 years with strong growth and international expansion. It is a leading supplier of vacuum impregnation services and porosity sealing solutions, relying on its fully automated impregnation systems and high quality resins Impregnation services cover two application areas castings and electronics. The business operates 15 service centers, close to customers in Germany and selected key customers in Eastern Europe .
The foreign impregnation activities had been part of the respective local affiliates of Henkel. Given the lack of purchaser’s own international infrastructure the foreign business had to be consolidated in to a newly created affiliate of Henkel Loctite KID GmbH.
Following a broad international process, the seller finally favored the MBO option despite higher carve out complexity. The transaction was successfully closed in November 2023. Since then, Henkel Loctite KID GmbH operates under the name KID Imprägnier und Dichttechnik GmbH.
